End User License Agreement

Last updated: September 28, 2026

What this covers

This end user license agreement (the “EULA”) covers the Escribo desktop application for macOS, Windows and Linux, as distributed from escriboapp.com and from the escribo-app releases on GitHub. It is an agreement between you and Rathbone Labs LLC, the maker of Escribo (“Escribo”, “we”, “us”). Please read it before downloading or using the Software. How we handle the little personal data we hold is described in our Privacy Policy.

Plain English summary

Escribo runs on your own computer. There is no account to create, and your screenshots stay with you. The Personal edition is free for personal, non-commercial use. Using Escribo for work needs a Pro or Business license: a one-time payment per device, good for the life of version 1. You get a license to use the app, not to resell or redistribute it. The source code is also published on GitHub under an open-source license, and that license governs the source. This summary is here to help; the agreement below is what counts.

Agreement

By downloading, installing or using the Software, you (1) represent that you are of the legal age of majority where you live and, if you are using the Software for an employer or a client, that you are authorized to enter into this agreement on its behalf, and (2) agree to be bound by this EULA. If you do not accept these terms, do not use the Software.

1. License grant

1.1 Grant. Subject to this agreement, and to payment of any license fees due, Escribo grants you a non-exclusive, non-transferable license to install and use the Software, under the edition you hold, on computers you own or control. Escribo retains title to the Software and reserves every right not expressly granted here, including all copyrights and trademarks embodied in it.

1.2 Personal edition. The Personal edition is free, for personal, non-commercial use only: an individual using the Software for themselves, and not on behalf of a business, an employer, a client or any other organization. If you use Escribo for work, buy a Pro or Business license.

1.3 Pro edition. A Pro license permits commercial use on the number of Devices named in your Order, up to five Devices per team.

1.4 Business edition. A Business license permits commercial use on the number of Devices named in your Order, with no limit on how many that is.

1.5 Devices. Pro and Business licenses are per Device. A license key is issued against the Device Code the Software shows, and is valid only on that Device; anyone who uses that Device may use the Software under its license. You may not use one license on two Devices at once. If you replace a Device, you may ask us for a key for the replacement, after which the old key must no longer be used.

1.6 Version. A Pro or Business license is perpetual for version 1 of the Software, including every 1.x Update we release. A later major version may need a new license, and nothing here obliges you to upgrade.

1.7 Copies. You may make a reasonable number of copies of the Software for backup or archival purposes, provided every copy keeps all copyright notices and other proprietary markings intact.

2. Restrictions

Except as an open-source license described in Section 3 permits, you may not: (a) sell, rent, lease, sublicense, redistribute or otherwise make the Software available to third parties, or offer it as a hosted service; (b) remove or alter any proprietary notices on the Software; (c) use the Software in violation of any applicable law; or (d) use the Personal edition for commercial purposes.

3. Open source

Escribo publishes its own source code at github.com/rathboma/escribo-app under the MIT license, and the Software includes third-party components under their own open-source licenses; the notices for those components are in the source repository. Those licenses govern the source code and those components, and where an open-source license conflicts with this agreement for a given component, the open-source license prevails for that component. This agreement covers the packaged Software we distribute and the Personal, Pro and Business editions, and the license in Section 1 is in addition to any rights you have under those open-source licenses.

4. Fees

4.1 Payment. Pro and Business licenses are paid once, per Device, at the price shown on escriboapp.com when you buy. The fee is due in full at the time of purchase. There are no subscriptions and no renewal fees for version 1.

4.2 More devices. You may add Devices to an existing license at any time by paying for them at the then-current price.

4.3 Taxes. Fees do not include taxes, duties or similar charges imposed by any government. Where they apply, they are your responsibility.

5. Support and updates

Support is provided on a reasonable-efforts basis through the issue tracker at github.com/rathboma/escribo-app. Updates to version 1 are made available at escriboapp.com/get and on GitHub, free of charge to every license holder. We may release Updates from time to time, but this agreement does not oblige us to release any particular Update or to keep supporting the Software indefinitely.

6. Your data and privacy

The Software runs entirely on your computer. It does not require an account; it does not send your screenshots, annotations or settings anywhere; and it never connects to our servers: not to check for updates, not to collect usage statistics, and not to check a license key, which is verified on the Device itself. When you save or copy an image, or import or export a brand profile, that data goes only where you put it.

7. No warranty

THE SOFTWARE IS PROVIDED “AS IS”. EXCEPT AS REQUIRED BY LAW, ESCRIBO MAKES NO WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, ABOUT THE SOFTWARE OR ANY SUPPORT, AND DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. We do not promise that the Software will be free of errors, that it will run without interruption, or that it will meet your requirements.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY LOSS OF PROFITS, LOSS OF USE, BUSINESS INTERRUPTION, LOSS OF DATA, OR INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING OUT OF THIS AGREEMENT OR THE USE OF THE SOFTWARE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ESCRIBO’S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE LICENSE FEES YOU PAID FOR THE SOFTWARE. This allocation of risk is reflected in the price of the Software, including the price of nothing for the Personal edition.

9. Term and termination

9.1 Term. This agreement takes effect when you first download, install or use the Software and continues until it ends as described below.

9.2 By you. You may end this agreement at any time by deleting every copy of the Software. Doing so does not entitle you to a refund.

9.3 By us. We may end this agreement, by written notice, if you materially breach it and do not cure the breach within 30 days of our notice, or if you fail to pay a fee within 30 days of our notice that it is overdue.

9.4 Effect. When this agreement ends, you must stop using the Software and delete every copy. Sections 3, 7, 8, 10 and 11, this Section 9.4, and any obligation to pay amounts due survive termination.

10. General

10.1 Governing law. This agreement is governed by the laws of the State of Texas, without regard to its conflict of laws principles. The parties consent to the personal and exclusive jurisdiction of the courts located in Dallas County, Texas.

10.2 Entire agreement. This agreement is the entire agreement between you and Escribo about the Software and replaces any prior understanding. No purchase order or other business form changes it, and any amendment must be in writing and agreed by both parties.

10.3 Severability and waiver. If any provision is held unenforceable, the rest remains in force and the provision is read to reflect its original intent as closely as the law allows. A failure to enforce a provision is not a waiver of it.

10.4 Assignment. You may not assign or transfer this agreement, or the license it grants, without our prior written consent, which we will not unreasonably withhold. We may assign it to a successor in connection with a merger, an acquisition or a sale of substantially all of the assets to which it relates.

10.5 Force majeure. Neither party is liable for a failure to perform caused by events beyond its reasonable control.

10.6 Export. You are responsible for complying with any export laws that apply to your use of the Software.

10.7 Changes. We may publish revised terms with future versions of the Software. The terms you accepted when you downloaded a version continue to govern that version.
